Terms of Service

1. Acceptance of Terms & Eligibility

By accessing or using Numberify, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

You must be at least 18 years old and capable of forming a binding legal agreement in your jurisdiction in order to use Numberify.

2. Service Description

Numberify provides software that assists users in extracting invoice-related information from emails and generating invoices. Users may optionally synchronize generated invoices with third-party accounting platforms such as QuickBooks through authorized integrations.

Certain features depend on third-party services, including Google and Intuit. Numberify does not control these services, and their availability or changes to their APIs may affect Numberify's functionality.

3. AI-Assisted Processing Disclaimer

IMPORTANT NOTICE: Numberify uses automated systems and machine learning to extract and structure invoice information from email content. These systems may produce errors, omissions, or incorrect interpretations and are not a replacement for human review.

Users are solely responsible for auditing, reviewing, verifying, and correcting the accuracy of every generated invoice before issuing, finalizing, tracking, or pushing it to QuickBooks (or any other service).

To the maximum extent permitted by law, under no circumstances shall Numberify be held liable for any financial, accounting, tax, or legal errors, omissions, or damages resulting from the use or reliance on our services.

4. User Responsibilities & Acceptable Use

  • You must ensure you have the necessary rights and consents to process any data (including customer information and emails) submitted to Numberify.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You agree not to use Numberify for unlawful purposes.
  • You agree not to attempt to reverse engineer, copy, or exploit the platform.
  • You agree not to interfere with or disrupt system infrastructure, nor access the service using automated scraping or abusive API usage.

5. Third-Party Integrations

Numberify integrates with third-party platforms including Google and Intuit (QuickBooks). Numberify is not affiliated with, endorsed by, or partnered with Google or Intuit.

Your use of those services is governed by their respective terms and policies. Numberify is not responsible for the availability, accuracy, or behavior of third-party services, nor for any changes they make to their APIs that may disrupt our service.

6. Privacy Policy

Your use of Numberify is also governed by our Privacy Policy, which describes how we collect, use, and store data.

7. Proprietary Rights

Numberify owns the software, code, logos, and overall platform infrastructure. The user retains all ownership rights to the data extracted from their emails and the resulting completed invoices.

8. Termination

We reserve the right to suspend or terminate access to Numberify at any time, with or without notice, if a user violates these Terms, misuses the service, or engages in fraudulent activity.

9. Warranty Disclaimer

Numberify is provided "as is" and "as available" without warranties of any kind, whether express or implied. To the maximum extent permitted by applicable law, Numberify disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or fully secure.

10. Limitation of Liability

To the maximum extent permitted by law, in no event shall Numberify be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities arising out of or related to your use of the service.

In no event shall Numberify's total cumulative liability to you for all claims arising out of or related to these terms exceed the amount paid by you to Numberify in the twelve (12) months preceding the claim, or fifty Canadian dollars ($50 CAD), whichever is greater.

11. Indemnification

You agree to defend, indemnify, and hold harmless Numberify, its affiliates, employees, and agents from and against any third-party claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the services, your violation of these Terms, or any dispute between you and any third party (including your clients/customers) related to invoices generated via the service.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any legal action or proceeding arising under these Terms must be brought exclusively in the courts located in Toronto, Ontario, and you hereby consent to the personal jurisdiction and venue therein.

13. Changes to Terms

We may update these Terms from time to time. Continued use of the service after such updates constitutes acceptance of the revised Terms. When updates occur, we will update the "Effective Date" at the top of this document.
